1. Definitions
"Goods" means the packaging products we supply. "Custom Goods" means Goods printed, embossed or otherwise modified to your specification. "Order" means a written instruction to supply Goods accepted in writing by us. "Proof" means the digital artwork mockup we send you for sign-off before production.
2. Quotes and orders
All quotes are valid for 30 days unless we state otherwise. A quote is an invitation to treat, not an offer. A contract is formed only when we issue a written order confirmation. We may decline an order at our discretion (e.g. artwork breaches third-party IP, requested quantity below MOQ, force majeure).
3. Pricing and payment
Prices are in GBP and exclude VAT unless stated. We invoice on confirmation of the proof. Card and PayPal payments are due immediately; approved business accounts are net 30 days from the invoice date. Late payments accrue interest under the Late Payment of Commercial Debts (Interest) Act 1998.
4. Artwork and proofs
You are responsible for the accuracy of artwork submitted to us, including spelling, colours, trademarks and regulatory marks (e.g. recycling symbols, allergen labelling). We send a digital proof for approval before production. Once you approve the proof, we cannot accept claims arising from errors in the approved artwork.
5. Production and delivery
Stated lead times begin the working day after proof approval and cleared payment, whichever is later. We use Royal Mail, DPD, DHL, UPS and FedEx. Delivery dates are estimates; we are not liable for losses caused by delivery delays outside our control. Risk passes on delivery; title passes once we receive cleared payment in full.
6. Cancellation and changes
Custom Goods are made to your specification and cannot be cancelled once you approve the proof. Changes to specification after proof approval may incur additional charges. Stock items can be cancelled before despatch for a full refund.
7. Intellectual property
You warrant that any artwork, logos and content you supply do not infringe third-party rights and that you have permission to reproduce them. You grant us a non-exclusive licence to use the artwork solely to fulfil your Order. We retain rights in our own die-lines, templates and product designs.
8. Liability
Our total liability for any claim is limited to the price paid for the Goods in question. We do not exclude liability for death or personal injury caused by negligence, for fraud, or for any other liability that cannot be excluded under English law. We are not liable for indirect, consequential or pure economic loss.
9. Governing law
These terms are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction over any dispute, subject to any non-waivable rights of consumer buyers under their local law.
